How to approach us - Please do not hesitate to contact us by
telephone, mail or email. We typically request that an executive
summary or a business plan be provided in advance of a meeting.
(Click on Business Plan for an overview of what we look for in a
business plan). We have found that our meetings are much more
productive if we have had the opportunity to review and familiarize
ourselves with the business plan. After an initial review of your
business plan we will schedule a business meeting at our place or
yours.
The initial due diligence process - We try to respond within 2 weeks
of receiving a plan. If it makes sense to proceed, we meet and work
with you to map out a plan of "due diligence" to
understand the team, the company, as well as its product(s), its
prospects, the industry and the competition. We may want to meet the
entire team, understand the business model, check references on
management and the company and may also want to contact customers
(actual or potential). This whole process may take a few weeks to a
month or more depending on the completeness of the business plan and
the availability of management
to work closely with us.
Term sheet - Once the due diligence exercise is completed and we
have determined that we would like to invest, we will provide the
company with a Term Sheet which outlines in general terms;
• The funds to be provided
• The percentage of equity we would purchase
• The structure of the investment
We will then work through with Management the issues involved and
then develop a more comprehensive term sheet. Our attorneys will
proceed to draw up legal documents for execution.
If speed is important, then management may opt to skip the
comprehensive term sheet and proceed to legal documentation. |
